Notice Of Vacany - Board Of Directors
The public is hereby notified that three (3) vacant positions on the Board of Directors of Akuapem Rural Bank PLC will be filled on November 9, 2024 at its 42nd Annual General Meeting to be held at the Methodist Girls’ Senior High School, Mamfe.
Board Roles and Responsibilities are as follows:
- Ensure that a well-structured and rigorous selection process is put in place for the appointment of Key Management Personnel of the Bank and also ensure that its obligations to all stakeholders, including depositors, creditors, employees, authorities and the community are upheld;
- Approve and monitor the Bank’s overall business strategy;
- Consider and approve the Bank’s annual budget prior to the ensuing year for implementation, monitoring and control;

Approve the formulation and oversee the implementation of the following:
i. Internal Control System; and
ii.Corporate Governance Framework, Principles and Corporate Values, including a code of business conduct or comparable document which shall set out the Bank’s requirements and processes for reporting and dealing with non-compliance. - Meet regularly with Key Management Personnel;
- Critically question and review explanations and information provided by Key Management Personnel;
- Set formal performance standards for Key Management Personnel consistent with the Bank’s long-term objectives, strategy and financial soundness, and monitoring Key Management Personnel’s performance against these standards; and
- Monitor and ensure the actions of Key Management Personnel and staff are consistent with the strategy and policies approved by the Board.
- Attend Board and Committee meetings.
Qualifications
- Must be 18 years and above;
- Must be adjudged to be of sound mind;
- Must have a minimum of a degree in ang of the following: Information Communication Technology, Marketing, Entrepreneurship, Accounting, Human Resource, Banking, Audit, Law, Finance, Economics, Strategic Planning, Risk Management, Corporate Governance and Procurement;
- Must be a Shareholder of Akuapem Rural Bank PLC;
- Must not have been prohibited from being a Director or banned from or taking part in the management of a company as a result of an order made under section 177 of the Companies Act, 2019 (ACT 992) so long as the order remains in force unless leave to act as Director has been granted by the Court.
- Must have no interest that adversely affects the business of the Bank;
- Must demonstrate a commitment to promoting the long-term interests of the Bank and its stakeholders;
- Must be willing to dedicate adequate time for his/her duties as a Director.
- Must not be a former Key Management Personnel of the Bank unless two (2) years have elapsed following the end of the employment with the Bank.
- Must not be a practicing Auditor rendering services or has rendered auditing services for Akuapem Rural Bank unless two (2) years have elapsed since the last engagement with the Bank.
